Introduction
Welcome to nunia. In this video we show two analyses from the closing: capital analysis per the CO and share valuation under Circular 28.
The capital analysis
You find the capital analysis in the sidebar under “Closing”. nunia checks four conditions: imminent insolvency, loss of capital, over-indebtedness and the ban on repaying contributions. The reference values come from the import: share capital, statutory reserves, equity, current assets and short-term liabilities. You can adjust each reference value; “Refill from import” fetches the values from the import again. From this nunia computes the protected capital, the threshold for loss of capital and the freely disposable equity. At Muster Bau AG everything is covered – no finding.
Under “Additional details” you enter what the balance sheet does not show – such as a holding, subordinations or a receivable from the shareholder. Should it exceed the freely disposable equity, nunia at once flags a finding on repayment of contributions. Each finding names the article and the measures required. With “Letter” you record the result as a confirmation for the board of directors.
The share valuation
The share valuation determines the tax value of unlisted shares and capital contributions for wealth tax. First, choose the canton of registered office; it sets the standard model and the cantonal specifics. nunia sets the capitalisation rate of the valuation year automatically. You also choose the type of company and the capitalised earnings model – you tick requests such as the person-related company. On the right, nunia summarises the canton’s specifics, for instance on valuing property.
Capitalised earnings value rests on the net profit of recent years in the import. If a year is missing or differs, you enter the amount directly. Adjustments under margin number 9, such as extraordinary expenses – you pick from a list; the formula shows every calculation step.
The net asset value starts from equity; hidden reserves and deferred taxes you enter per item. Company value: twice the capitalised earnings value plus the net asset value, divided by three. Using the share count from master data, nunia computes the tax value per share. For each holder, nunia checks the flat-rate deduction – with stake, votes and dividends. You create the valuation sheet with “PDF”: two pages with all underlying data. You will find more tutorial videos on nunia.ch. Until next time.

Frequently asked questions
Which conditions does the capital analysis check?
Imminent insolvency, loss of capital, over-indebtedness and the ban on repaying contributions.
Where do the figures of the capital analysis come from?
The reference values come from the import. You can adjust each reference value; “Refill from import” fetches the values from the import again.
How does nunia calculate the company value under Circular No. 28?
Twice the capitalised earnings value plus the net asset value, divided by three. Using the share count from the master data, nunia computes the tax value per share from this.
Does nunia take cantonal specifics into account?
Yes. The canton of registered office sets the standard model and the cantonal specifics; nunia sets the capitalisation rate of the valuation year automatically.
How is the capitalised earnings value derived?
From the net profit of recent years in the import. If a year is missing or differs, you enter the amount directly; adjustments under margin number 9 you pick from a list, and the formula shows every calculation step.
